Welcome to KenMeet! These Terms and Conditions ("Terms") govern your access to and use of the KenMeet video conferencing platform, including our website, services, and applications (collectively, the "Service"). The Service is provided by the operator of KenMeet ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, joining or hosting a meeting, or otherwise using the KenMeet Service, you represent that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines we may post.

2. User Accounts

2.1. Account Creation: You may need to create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
2.2. Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

3. Use of the Service

3.1. License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business or personal purposes.
3.2. Acceptable Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
* In any way that violates any applicable national, regional, or international law or regulation.
* For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
* To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
* To impersonate or attempt to impersonate the operator of KenMeet, a KenMeet employee, another user, or any other person or entity.
* To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm KenMeet or users of the Service, or expose them to liability.
3.3. Prohibited Activities: You agree not to:
* Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.
* Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
* Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent.
* Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
* Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
* Reverse engineer, decompile, or disassemble any aspect of the Service.
* Use the AI transcription or notetaker features for any purpose other than summarizing or transcribing meeting content for the participants of that meeting. You may not use the output for illegal, harmful, or discriminatory purposes.

4. User Content

4.1. Definition: "User Content" includes any data, information, audio, video, chat messages, screen shares, documents, meeting recordings, transcriptions, AI notes, or other materials that you upload, post, transmit, or display through the Service.
4.2. Ownership: You retain ownership of your User Content.
4.3. License to KenMeet: By submitting, posting, or displaying User Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content solely for the purpose of providing, operating, and improving the Service to you and other participants in your meetings. This includes processing meeting audio/video/chat to provide the transcription and AI notetaker features for your specific meeting. We do not use your meeting content (audio, video, chat, transcripts, notes) to train KenMeet's general AI models or other products.
4.4. Responsibility for User Content: You are solely responsible for your User Content, including its legality, reliability, accuracy, and appropriateness. By submitting User Content, you represent and warrant that you have the necessary rights and permissions to do so and that your User Content does not violate these Terms or the rights of any third party.
4.5. Monitoring and Removal: We reserve the right to monitor User Content but are not obligated to do so. We may, in our sole discretion, remove or disable access to any User Content that violates these Terms or is otherwise objectionable.

5. AI Transcription and Notetaker Features

5.1. Description: The Service includes optional AI features that can transcribe meeting audio and generate summary notes based on the meeting content.
5.2. Processing: By enabling and using these features, you understand and agree that meeting audio, chat, and other relevant content will be processed by our AI systems (which may involve third-party AI service providers under strict confidentiality and data processing terms) solely to provide the transcription and notetaker output for that specific meeting.
5.3. Accuracy: AI output may not be 100% accurate, complete, or reliable. The quality may vary based on audio quality, participant accents, background noise, and other factors.
5.4. Responsibility for Output: You are responsible for reviewing, verifying, and editing the AI transcriptions and notes. You should not rely solely on the AI output for critical decisions or records. We are not liable for any errors, inaccuracies, or omissions in the AI output or for any decisions made based on such output.
5.5. Consent: If you are recording or transcribing a meeting, or using the notetaker, it is your responsibility to ensure that all participants are aware of and consent to such activities, in compliance with all applicable laws and regulations regarding recording and privacy.

6. Fees and Payment

6.1. Subscription Plans: Access to certain features or extended usage of the Service may require a paid subscription plan. Details of the available plans and their pricing are available on our website at Pricing.
6.2. Billing: By selecting a subscription plan, you agree to pay the applicable fees as described. Payments will be billed on a recurring basis (e.g., monthly or annually) as per your selected plan.
6.3. Payment Processing: We use a third-party payment processor, such as Stripe, to process payments. By using the paid features of the Service, you agree to be bound by Stripe's Terms of Service and Privacy Policy. We do not store your full payment card details on our servers.
6.4. Automatic Renewal: Subscription plans automatically renew unless canceled before the end of the current billing period. You can manage your subscription and cancellation settings in your account.
6.5. No Refunds: All fees paid are non-refundable.
6.6. Price Changes: We reserve the right to change pricing for subscription plans upon reasonable notice.

7. Intellectual Property

7.1. KenMeet IP: The Service, including its code, design, user interface, trademarks ("KenMeet"), logos, and content (excluding User Content), is owned by the operator of KenMeet or its licensors and is protected by intellectual property laws.
7.2. Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Service or its intellectual property, nor may you reverse engineer or attempt to extract the source code, unless laws prohibit these restrictions or you have our written permission.

8. Service Availability and Modifications

8.1. Availability: We strive to keep the Service operational, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications, including the complexities of multi-region server deployments.
8.2. Modifications: We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

9. Termination

9.1. By You: You may stop using the Service and terminate your account at any time through your account settings or by contacting us.
9.2. By Us: We may suspend or terminate your access to the Service, with or without cause, with or without notice, at any time, including for breach of these Terms.
9.3. Effect of Termination: Upon termination, your right to use the Service will cease immediately. Sections relating to User Content, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and General Provisions will survive termination.

10. Disclaimers

10.1. NO WARRANTIES: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2. SERVICE RELIABILITY: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10.3. AI ACCURACY: WE MAKE NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR USEFULNESS OF THE AI TRANSCRIPTIONS OR NOTETAKER OUTPUT. YOU USE THESE FEATURES AND RELY ON THEIR OUTPUT AT YOUR OWN RISK.
10.4. MULTI-REGION: WHILE OUR MULTI-REGION ARCHITECTURE IS DESIGNED FOR RESILIENCE, WE DO NOT WARRANT SPECIFIC UPTIME OR PERFORMANCE LEVELS, WHICH CAN BE AFFECTED BY GLOBAL INTERNET CONDITIONS AND REGIONAL INFRASTRUCTURE ISSUES.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE OPERATOR OF KENMEET, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING AI TRANSCRIPTIONS OR NOTES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR (B) THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE PAST TWELVE MONTHS.

12. Indemnification

You agree to defend, indemnify, and hold harmless the operator of KenMeet and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (i) your violation of these Terms; (ii) your use of the Service, including your User Content, AI output derived from your meetings, and any recording/transcription practices; or (iii) your violation of any rights of another party or any applicable law.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of United States, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal or state courts located in USA, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

15. General Provisions

15.1. Entire Agreement: These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and the operator of KenMeet regarding the Service.
15.2. Waiver and Severability: No waiver by the operator of KenMeet of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the operator of KenMeet to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
15.3. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
